Warburg Pincus to Acquire JSB, Japan’s Leading Student Housing Operator

On June 12, U.S. investment fund Warburg Pincus announced plans to acquire JSB, a major student housing company in Japan, in a deal valued at approximately ¥200 billion. The move aims to strengthen operations in the Tokyo metropolitan area and leverage digital tools to capture growing demand, particularly from international students.

A tender offer (TOB) will begin on June 15, with a purchase price of ¥9,000 per share compared to the June 12 closing price of ¥6,930.

Headquartered in Kyoto, JSB is the largest player in the industry, managing around 100,000 rental units nationwide for university students and international residents. Occupancy rates are close to 100%, and the company has built strong partnerships with universities. For the fiscal year ending October 2025, JSB reported consolidated net profit of ¥5.1 billion.

Japan faces demographic challenges with a declining domestic student population, but international enrollment continues to rise. According to the Japan Student Services Organization, the number of foreign students exceeded 400,000 in May 2025, up 21% year-on-year — the highest level on record. Universities are also expanding dormitory facilities for Japanese students, further boosting demand.

Warburg Pincus first established a presence in Japan in the 1990s but later withdrew. The firm re-entered the Japanese market in 2025, and the JSB acquisition marks its first major deal since returning.

As of May 1, 2025, the number of international students in Japan reached 408,069, marking a 21.2% increase from the previous year and setting a new record high. This milestone represents the first time the figure has surpassed 400,000. However, securing housing remains a complicated process for many students, with significant room for improvement. Enhancing student accommodation will be essential if Japan is to welcome even more international students in the future.
